RHSPC, LLC – Terms & Conditions

Scope / Applicability

  • These Terms apply to (a) your use of the website (informational content, contact forms, published resources), and (b) consulting, HR, advisory, or related services (“Services”) provided by RHSPC.
  • If a separate written service agreement (scope, deliverables, fees) is executed, those terms control to the extent they conflict with these Terms.

 

Contract Formation / Engagement

  • No contract is formed merely by contacting us or requesting information. A binding engagement begins only when RHSPC provides you with a written confirmation (such as via email or agreement) detailing the scope, deliverables, timing, and fees, and you accept.
  • We may decline or condition acceptance of any engagement at our discretion.

 

Fees, Payment & Cancellation

  • Fees are as stated in the engagement confirmation. Unless otherwise agreed in writing, payment is due within 14 days of invoice.
  • If you cancel or reschedule a consulting session, workshop, or commitment less than 48 hours before it is to begin, we may charge the full or prorated fee.
  • If Services are partially delivered before termination or cancellation, we may invoice for the portion delivered.
  • Any reimbursable expenses (travel, materials, etc.) will be billed separately with documentation.

 

Client Responsibilities & Assumptions

  • You will provide timely access to information, documents, personnel, and cooperation as reasonably requested by RHSPC to perform the Services.
  • You warrant that you have the rights to provide any information you share (e.g. employee data, candidate data) and that doing so complies with applicable laws.
  • RHSPC is not responsible for outcomes or decisions you make based on our advice, unless explicitly agreed otherwise.

 

Confidentiality

  • Both parties agree to hold in strict confidence all proprietary or non‑public information disclosed in connection with the Services (“Confidential Information”).
  • Confidential Information does not include information that is (i) already public without breach; (ii) rightfully obtained from a third party; or (iii) independently developed without using the other party’s Confidential Information.
  • RHSPC may seek your permission (in anonymized form) to reference general case studies or lessons learned in public discussions, articles, or marketing; you may reject such reference.

 

Intellectual Property / Use of Materials

  • You acknowledge that all content on the website (texts, graphics, templates, branding, logos) is owned by RHSPC (or RHSPC’s licensors) and is protected by copyright and other laws.
  • During an engagement, RHSPC may deliver deliverables, templates, reports, or materials (“Work Product”) to you. Unless otherwise agreed in writing:
  • – You receive a nonexclusive, nontransferable license to use the Work Product internally for your business.
  • – RHSPC retains all underlying intellectual property rights.
  • – You may not reproduce, share, resell, or distribute the Work Product beyond your internal use without prior written permission.

 

Website Use & Disclaimers

  • The website is for informational purposes only. You may view, print, or download content for your personal or internal use, but you must not republish, sell, or distribute without permission.
  • The website content does not constitute legal, financial, or HR advice tailored to your specific situation. For personalized advice, consult with professionals or engage RHSPC directly.
  • We do not warrant that the website is error-free, uninterrupted, or free of harmful content (viruses, etc.).

 

Limitation of Liability & Indemnification

  • To the maximum extent permitted by law, RHSPC’s liability for any claim arising under these Terms or your use of the website or Services shall be limited to the total fees you paid us in the preceding 12 months (or another reasonable cap, as agreed).
  • RHSPC is not liable for indirect, incidental, consequential, punitive, or special damages (including lost profits) arising from your use of the website or our Services.
  • You agree to indemnify, defend, and hold harmless RHSPC and its officers, employees, agents, from any claims, liabilities, damages, or expenses arising from your breach of these Terms, your misuse of the website or Services, or your violation of any laws or third-party rights.

 

Termination

  • Either party may terminate the engagement on written notice. You remain obligated to pay for all Services performed up to termination and any noncancellable commitments made by RHSPC on your behalf.
  • Provisions that by their nature survive termination (e.g. confidentiality, IP, liability) remain in effect after termination.

 

Governing Law & Dispute Resolution

  • These Terms are governed by the laws of the State of Ohio, USA, without regard to conflict-of-law principles.
  • Any dispute will be resolved in the state or federal courts located in Ohio, and you submit to their jurisdiction.

 

Miscellaneous

  • If any provision of these Terms is found invalid or unenforceable, the remaining provisions remain in force.
  • Headings are for convenience only and do not control interpretation.
  • We may modify these Terms from time to time; changes take effect when posted on the website or delivered to you in writing. Continued use or engagement constitutes acceptance.
